Terms
Version of 4 October 2026 · dated copy · plain text · version of 30 September 2026 (early access)
1. About these terms
These terms cover this website and the sale of the SteadyLatch Automation Reliability Kit (the "kit"). The provider is Andrew Rodrigo Fernandez, operating as SteadyLatch; contact details are in the legal notice. When you buy the kit through Polar, these are the supplier terms for the kit that Polar's checkout terms refer to.
2. Current status
The current release of the kit is version 1.0.0, delivered as a download at purchase. Early access has ended. Purchases made during early access remain governed by the terms in force when they were made (the version of 30 September 2026), including their license and refund policy.
3. Licenses and prices
Solo €59, Pro €119, Consultant €249, VAT included. Each is a one-time purchase, and the price is the total: any VAT or sales tax due is included in it. At purchase you download the release ZIP file of your license type, its SHA256SUMS checksum file and a plain-text copy of these terms.
Every license type includes: regression runner with golden files, numeric tolerances and Markdown/JSON reports · data contracts for CSV, JSON and .xlsx values · API client with timeouts, bounded retries and structured logs · local Excel runner (Windows, Excel desktop, attended) · VBA modules for error handling and batches · synthetic demo with four scenarios · documentation, including getting started, known limits and troubleshooting.
Pro and Consultant also include the delivery tooling: VBA export to text with environment manifest, VBA import and manifest checks · delivery package with checksums · tested recovery procedure · GitHub Actions template · guide to working with Claude Code. Without it, the fourth scenario of the demo (delivery and recovery) does not run. Pro and Consultant include the same files; they differ in the license (section 4).
Not included: running VBA in hosted CI · Excel for Mac or Excel for the web · adapting the kit to your workbook.
4. License
A license can be bought by an individual or a business. Each license covers one developer and is of the type you buy: Solo, Pro or Consultant. Section 3 lists what each type includes.
Every license type lets that developer use and modify the files it includes for their own personal, professional or internal work, including running them on work they do for clients. Other people in the same organization may run the checks that developer set up, for example in continuous integration, and read their results; each other developer who uses or modifies the kit, beyond running those checks and reading their results, needs their own license.
Except as the Consultant license allows below, you may not resell, redistribute, sublicense or share the kit or its files, modified or not, in whole or in part, and you may not include them in deliverables for third parties. These restrictions, including those that apply to clients below, do not limit any right you or a client have under law that cannot be excluded by contract; in particular, they do not prohibit reselling a copy of the kit where the law allows it once the right of distribution in that copy is exhausted, under the conditions the law sets, such as making your own copy unusable. The license does not transfer ownership of the intellectual property rights in the kit. Updates within version 1.x of the files your license type includes are included; this does not limit any update you are entitled to by law.
The Consultant license also lets that developer include files of the kit, modified or not, in work they deliver to their own clients, as part of that work: for example, the checks and templates in a client's repository or the VBA modules in a client's workbook. For files delivered this way, SteadyLatch grants the client permission to use, copy and modify them only as part of the delivered work, including to run and maintain it, and the client may have its employees and maintenance contractors do so on its behalf. Except for providing copies to its employees and maintenance contractors for those purposes, the client may not distribute those files to anyone else, on their own or within other work. The Consultant license does not allow selling or distributing the kit, or a substantial part of it, as a product of its own, or delivering a repackaged version of it in place of the work. Each developer, subcontractors included, who uses or modifies the kit to produce work for clients needs their own license; this does not apply to the client's employees or maintenance contractors acting only under the client permission above. A client's permission for files delivered under a valid Consultant license continues after a later refund of that license; after a full refund, the developer must stop using the kit and including it in work under that purchase.
5. Payment
Checkout is handled by Polar, which acts as merchant of record: Polar is the seller of your purchase, collects payment and any VAT or sales tax due, and issues your invoice and receipt by email. Polar's Checkout Buyer Terms govern the purchase through Polar. SteadyLatch grants the license and gives the product, update, refund and support commitments in these terms.
6. Refunds
You can get a full refund on request within 14 days of the day you buy, whether you buy as a consumer or as a business, and even if you have already downloaded the kit.
To ask for a refund, email the address in the legal notice, with your order reference if you have it. Refunds are issued through Polar. After a full refund, the license for that purchase ends and access to the download is removed; this does not affect your statutory rights.
Right of withdrawal. If you are a consumer in the European Union, you can withdraw from your purchase within 14 days of the day you buy, without giving a reason, even if you have already downloaded the kit. To withdraw, send a clear statement to the email address in the legal notice, with your order reference if you have it. You may use the model form below, but you do not have to. You then receive a full refund through Polar within 14 days of your statement.
Model withdrawal form: "To SteadyLatch (email address in the legal notice): I hereby give notice that I withdraw from my contract for the SteadyLatch Automation Reliability Kit. Ordered on: [date]. Order reference: [reference]. Name: [name]. Address: [address]. Date: [date]."
The refund policy above applies in addition to, and regardless of, this right and any other statutory rights you have.
7. Support
Support is by email and covers installation questions and reproducible defects in the kit. Adapting the kit to a specific workbook, data source or environment is a separate service.
8. Requirements and responsible use
The kit needs PowerShell 7.4 or later; running macros and exporting or importing VBA also need Windows with Excel desktop. Supported configuration for v1.0.0: Windows 11 with Microsoft 365 Excel (64-bit) and PowerShell 7; the checks that do not need Excel were also tested on Linux (Ubuntu) and Windows in GitHub Actions. The tested versions of each release are listed in its limits page (docs/limits.md in the download). These technical limits do not restrict your statutory rights to digital content that conforms to these terms. Run the kit on copies of your workbooks, and only with data and systems you are authorized to use.
9. Warranty and liability
If you are a consumer, your statutory rights, including the legal guarantee of conformity for digital content, are not affected by these terms. Nothing in these terms excludes or limits liability that cannot be excluded or limited by law.
10. Custom automation service
The custom Excel report automation service is ordered and delivered through Fiverr, under Fiverr's terms and the scope agreed in each order.
11. Governing law
These terms are governed by the laws of Bulgaria and by applicable European Union law. If you are a consumer, you keep the protection of the mandatory laws of the country where you live.
12. Changes
These terms may be updated. The version in force when you buy applies to that purchase. Every version under which the kit has been sold is kept on this website at its own dated address, and a plain-text copy of the version in force is included with your download. The checkout records which version you accepted.
